By accessing or using TrueLoyal's platform and services, you agree to the terms below. We've organized them clearly so you know exactly what's expected — from both sides.

Definitions
These terms are used throughout this agreement. Understanding them makes the rest of the document easier to follow.
TrueLoyal, Inc., the company providing the loyalty rewards platform and all associated services.
Any individual or entity accessing or using TrueLoyal's website, platform, or services in any capacity.
The TrueLoyal loyalty rewards platform, website (trueloyal.com), mobile applications, APIs, and all related products and features.
Any text, images, data, information, or other material submitted to, displayed on, or transmitted through the Services.
A registered profile created by a user to access and use TrueLoyal's platform, protected by login credentials.
A paid access plan granting use of TrueLoyal's Services for a defined period, billed on a recurring or agreed basis.
Acceptance of terms
By accessing or using TrueLoyal's Services in any way — including browsing the website, registering an account, or using any feature — you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree, you may not use the Service
TrueLoyal reserves the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform. Continued use of the Services after changes take effect constitutes acceptance of the revised terms.
Use of the Services
TrueLoyal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose, subject to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use at support@trueloyal.com.
You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use the Services. By using TrueLoyal, you represent that you meet this requirement.
You agree to provide accurate, current, and complete information during registration and to update it as necessary. TrueLoyal is not liable for issues arising from inaccurate information you provide.
The Services are licensed, not sold. Your access is limited to lawful purposes consistent with these Terms and any applicable laws, regulations, and third-party rights.
Prohibited uses
You agree not to use the Services in any of the following ways. Violations may result in immediate account suspension or termination.
Use the platform for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.
Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to TrueLoyal.
Transmit any unsolicited or unauthorized advertising, promotional material, spam, or any other form of solicitation.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform or its components.
Use automated tools (bots, scrapers, crawlers) to access, collect, or extract data from the Services without express written permission.
Introduce viruses, trojans, worms, or other malicious or technologically harmful material to the platform or its infrastructure.
Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or organization.
Engage in any conduct that restricts or inhibits any other user from using or enjoying the Services, or that exposes TrueLoyal to liability.
Your content
You retain ownership of any content you submit or upload to the Services. By submitting content, you grant TrueLoyal a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display that content solely as necessary to provide and improve the Services.
You are solely responsible for the content you submit. You represent that you own or have all necessary rights to the content and that it does not violate any third-party rights or applicable laws.
TrueLoyal reserves the right to remove any content that violates these Terms, is deemed harmful, or is otherwise objectionable at our sole discretion — without prior notice.
Ownership & IP rights
The Services and all content, features, and functionality — including but not limited to text, graphics, logos, button icons, images, audio clips, software, and the compilation thereof — are the exclusive property of TrueLoyal, Inc. or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.
Your license to use the Services does not include the right to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any TrueLoyal materials — except as expressly permitted in these Terms or with our prior written consent.
The TrueLoyal name, logo, Fan Club™, and all related marks, product and service names, designs, and slogans are trademarks of TrueLoyal, Inc. You may not use such marks without prior written permission.
Payments & subscriptions
Certain features of the Services require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase.
Billing cycle. Subscriptions are billed on a recurring basis (monthly or annual) as selected at signup. Fees are charged at the beginning of each billing period.
Automatic renewal. Subscriptions automatically renew unless cancelled before the renewal date. You are responsible for cancelling your subscription to avoid future charges.
Price changes. TrueLoyal may modify subscription pricing with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.
Refunds. All fees are non-refundable except where expressly stated or required by applicable law. Disputes should be directed to support@trueloyal.com.
Taxes. Prices do not include applicable taxes. You are responsible for all taxes associated with your use of the Services, except for taxes on TrueLoyal's income.
Termination of access
Either party may terminate the agreement at any time under the following conditions:
You may cancel your account at any time by contacting us at support@trueloyal.com or through your account settings. Cancellation takes effect at the end of the current billing period.
We reserve the right to suspend or terminate your access immediately, without notice, if you breach these Terms or if we determine your conduct is harmful to TrueLoyal, its users, or third parties.
Upon termination, your right to use the Services ceases immediately. Provisions that by nature should survive termination — including ownership, disclaimers, indemnification, and limitations of liability — will remain in effect.
Warranty disclaimer
The Services are provided on an "as is" and "as available" basis, without warranties of any kind — express, implied, or statutory. TrueLoyal does not warrant that the Services will be uninterrupted, error-free, completely secure, or free of viruses or other harmful components.
TrueLoyal expressly disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. No advice or information, whether oral or written, obtained from TrueLoyal or through the Services shall create any warranty not expressly stated here.
Limitation of liability
To the maximum extent permitted by applicable law, TrueLoyal, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or other intangible losses.
In no event shall TrueLoyal's total liability to you for all claims arising from or related to the Services exceed the greater of (a) the amount you paid to TrueLoyal in the twelve months prior to the claim, or (b) $100 USD.
This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis — even if TrueLoyal has been advised of the possibility of such damages.
Your indemnification obligations
You agree to defend, indemnify, and hold harmless TrueLoyal and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
Your violation of these Terms or any applicable law or regulation.
Your use or misuse of the Services, including any content you submit or transmit.
Your infringement of any intellectual property or other rights of any third party.
Any dispute between you and another user of the Services.
Governing law & disputes
These Terms and any dispute arising out of or related to them or the Services will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Informal resolution first. Before filing any formal legal action, both parties agree to attempt to resolve disputes informally by contacting TrueLoyal at legal@trueloyal.com and allowing 30 days to attempt resolution.
Binding arbitration.If informal resolution fails, disputes shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration will be conducted in Santa Clara County, California, or via videoconference.
Class action waiver.You agree that any arbitration will be conducted on an individual basis only. You waive any right to participate in a class, collective, or representative action.
Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
General provisions
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and TrueLoyal regarding the Services.
If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force.
TrueLoyal's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of TrueLoyal.
You may not assign your rights or obligations under these Terms without TrueLoyal's prior written consent. TrueLoyal may assign its rights to any successor or acquirer of the business without restriction.
